THE CONSTITUTION OF NATIONAL ASSOCIATION OF UNEMPLOYED GRADUATES (NAUG)

Section 1: PREAMBLE

We the graduates of Nigeria, in order to establish Justice in employment, promote the general welfare of both the employed and unemployed, with enabling environment for self-actualization in order to secure the blessings of Liberty to ourselves and our Posterity, to establish this Constitution for the Unemployed Graduates of Nigeria

a) The name of this body or Association shall be NATIONAL ASSOCIATION OF UNEMPLOYED GRADUATES (NAUG). Consequently, its founding is in line to complement and promote the pivotal human resource development of this nation; which happens to be the Graduate.

b) This is the constitution of NAUG - any utterance without proper procedure by the act that binds it, or through channel designed by this Association, render such as invalid.

NOTE: all sub sections are structured not beyond ‘g’ otherwise it is rendered altered.

1.2  THE MISSION:

a) To provide empowerment and aid provision of employment with enabling environment to worthy and willing graduates, to ensure the welfares of both the employer/employee and yet to be employed are also taken into cognizance.

b) To widen the scope of diverse ways of reducing poverty through promotion of the benefits of agriculture and industrialization to the ever increasing numbers of graduates combating unemployment among local manufacturing outfits, empowering functional entrepreneur skills, manned and operated by graduates/youths.

1.3 THE VISION:

To be a major force in poverty and unemployment reduction and to promote the benefits of agriculture and industrialization in the nation for graduates/youths

1.4 THE OBJECTIVES:

a) To establish and secure a system that will cater for the needs of Nigeria unemployed graduates and the youth through community training centre initiative.

b) To maintain and manage the system above and cooperate with any local statutory authority in the maintenance and management of such a Centre for activities promoted by the Association and its constituent bodies.

c) To enhance relevant skills acquisition and to provide facilities in the interest of youth and to generally promote and protect the socio-economic and cultural interests of the nation.

d) To widen the provision of employment opportunities, welfare rights, advice and information for the needy and refer those in need of employment opportunities to the relevant agencies;

e) To equip and maintain, acquired infrastructures and facilities designed to carry out productive activities, geared towards manufacturing and industrialized activities.

f) To support and enhance research, surveys and investigations, geared towards generating economic activities that will create employment and bring about national growth and development.

g) To Organize and establish lectures, symposia, classes and exhibitions that will assist in pursuing the needs of creating enabling environment in the labour market.

SECTION 2: ORGANIZATIONAL FUNCTIONS:

a) The Members of the Association shall, without distinction of age, sex, tribe, political, religious or other considerations shall be open to all intending members, in keeping with lawful practices stipulated by statutory authorities.

b) This Association shall accept memberships from, individual of the general public who, have successfully completed some form of tertiary education.

c) The Association shall obtain royalties, donations, legacies or other lawful method, provided that the Association may not engage in any form of permanent trading;

d) It should promote and organize co-operation in the achievement of the above objects and to that end to work in Association with local authorities and voluntary organizations engaged in the furtherance of the above objects in the area of benefit

e) Do all such other lawful things as may be necessary for the attainment of the above objects or any of them.

f)  Recruit and train volunteers with relevant skills in line with the organizational vision and mission to carry out the objectives of the Association.

g) Employ the use of members of the Association who volunteer to be a member of the Management Committee referred to as (the Committee), to supervise, organize and carry on the work of the Association and make all reasonable and necessary decisions beneficial to the Association which in turn to build the nation evenly.

2.1 – MEMBERSHIP CRITERIA:

Membership of the Association shall be open to the following, irrespective of political party, nationality, tribe, religion or political opinion:

a) People who have attained the status of “graduate” from tertiary institutions of learning, who agree to subscribe to the objects of the Association shall be called individual members.

b) Any membership application that is accepted by the Committee; such members shall be entitled to vote at meetings of the Association; and also undergraduates inclusive with a valid ID card from any Nigerian tertiary institution of higher learning.

NOTE: this body might accept any member with reasonable justice in line with the requirement of the Association even if such member is not from a tertiary institute (owing to some factors like- old age, lack of fund, family ties, economy situation etc.)

c) Organizations within the area of benefit, whether voluntary or statutory, may upon application to and with the approval of the Committee be admitted as Affiliated Members and such approval shall not be unreasonably withheld;

d) Well-wishers anywhere or persons who, in the opinion of the Committee, have special knowledge or experience to offer to the Association; such members shall be called Associate Members and shall [not have] the right to vote at meetings of the Association.

e) Affiliated members shall each be entitled to be represented at meetings of the Association by a duly authorized representative with power to vote on behalf of the Affiliated Member.

f) The Committee shall fix the terms of subscription appropriate to each category of membership, shall issue membership cards and shall have the right for good and sufficient reason to terminate the membership of any member who has been to proven beyond reasonable doubt of acts against the general interest of the Association provided that the member concerned shall have the right to be heard by the Association before a decision is made.

SECTION 3: ORGANIZATION AND MEMBERS’ FUNCTIONS

The Association shall have her secretarial outlet in all the six geopolitical zones of the nation;

a) Shall have democratic leaders as National Executive and also at the state level.

b) All registered members shall legislate

c) They shall report to the executives

d) They shall debate matters and report back to the executives

e) They shall take or give resolutions to be acted upon by the executives.

f)  They shall with the executive finance the Association and look for ways to attract funs

g) They shall look into the smooth running of the Association.

SECTION 3.1: THE EXECUTIVES

This section is currently being reviewed and will be updated soon.

SECTION 4: STRATEGIC TEAM

a) Except as provided otherwise in this Constitution the policy and general management of the affairs of the Association shall be directed by the strategist team which shall meet quarterly; not less than FOUR times a year.

b) This meeting should be comprised of at least eight (8) executive members of the Association including the National Coordinator, Assistant National Coordinator, Secretary General, Treasurer, Head of Mobilization, PRO’s and other members agreed upon by the National Coordinator, elected at an Annual General Meeting.

c) Nominations from full members of the Association for members of the Committee must be in writing and must be approved by the Associations leadership at least 7 days before the Annual General Meeting hereinafter mentioned (unless otherwise stated)

d) Any member of the Committee who fails to attend three (3) consecutive Committee meetings without reasonable excuse shall lose her/his place on the Committee which may be filled by co-option in accordance with Clause above.

e)  The Trustees (if appointed) shall be notified of and shall be entitled to attend all meetings of the Committee but shall not have the power to vote.

SECTION 5: THE COMMITTEE FUNCTIONS

a)  The Committee may make such regulations as its members consider appropriate for the efficient conduct of the business of the Committee and the Association.

b)  The Committee may appoint such staff as its members consider necessary on such terms and conditions as they may determine.

c) The Committee may appoint sub-committees, advisory groups or working parties of its own members and other persons as it may from time to time decide necessary for the carrying out of its work and may determine their terms of reference, duration and composition. All such sub-committees shall make regular reports on their work to the Committee.

d) The proceedings of the Committee shall not be invalidated by any failure to elect or any defer in the election, appointment, co-options or qualifications of any member.

SECTION 6: FINANCE

a)  All cash raised by or on behalf of the Association shall be applied to further the objects of the Association and for no other purpose PROVIDED THAT nothing herein contained shall prevent the payment of legitimate out-of-pocket expenses to members of the Association engaged upon the approved business of the Association.

b)  The Honorary Treasurer shall keep proper accounts of the finances of the Association.

c)  The financial year of the Association shall run from 1 September to 31 August.

d)  The accounts shall be audited at least once a year by an auditor or auditors who shall be appointed at the Annual General Meeting.

e)  An audited statement of accounts for the last financial year shall be submitted by the Committee to the Annual General Meeting.

f)  A bank account shall be opened in the name of the Association with a Bank agreed upon by the Association, or with such other bank as the Committee shall from time to time decide.

g) The Committee shall authorize in writing the Honorary Treasurer and 2 members of the Committee to sign cheques on behalf of the Association. All cheques must be signed by not less than 2 of the 3 authorized signatories.

SECTION 7: TRUST PROPERTY

a) The Association may appoint and may terminate the appointment of not less than 3 people to act as Trustees for the purpose of holding any monies or property belonging to the Association.

b) The title to all or any such real and/or personal property which may be required by or for the purposes of the Association shall be vested in the Trustees who shall hold such property in trust for the Association.

c) The Trustees shall act under the instructions of the Committee who shall, subject to the approval and consent of the Association as determined by a General Meeting, have power to fill vacancies among the Trustees.

d) The Association shall Purchase, take on lease or in exchange, hire or otherwise acquire any real or personal property and any rights and privileges necessary for the promotion of the above objectives

e) The body shall construct if need be and maintain any buildings or erections which the Association may think necessary for the promotion of its objective.

f)  Make any regulations for any property which may be so acquired;

g) Subject to any consents as may be required by law, sell, let, mortgage, dispose of or turn to account all or any of the property or assets of the Association with a view to the furtherance of its objects;

SECTION 8: ANNUAL GENERAL MEETING

a) The first Annual General Meeting of the Association shall be held not later than the February 28 2014 and in each year [thereafter]. An Annual General Meeting of the Association shall be held at such place and time (not being more than 10 months after the holding of the preceding Annual General Meeting) as the Committee shall determine.

SECTION 8.1: At such an Annual General Meeting the business shall include the following:

b) The review of the Association journey so far;

c) The election of members to serve on the Committee;

d) The appointment of an auditor or auditors;

e) The consideration of an Annual Report of the work done by or under the auspices of the Committee;

f)  The consideration of the audited accounts and declaration of statement of account;

g) The transaction of such other matters as may from time to time be considered necessary.

h) The execution of project at hand and channel on the way general way forward.

SECTION 8.1.1: SPECIAL GENERAL MEETING

a) The Committee may at any time as deemed fit and upon a requisition signed by not less than 6 executive members, which shall include the national coordinator, the general secretary, financial secretary/treasurer and any other three members of the  executive, having the power to vote and giving reasons for the request, shall call a Special General Meeting of the Association for the purpose of altering the Constitution in accordance with the aforementioned should the need to consider any matter which may be referred to them by the Committee or for any other purpose arise.

SECTION 9.0: Duties of Trustees

9.1: The general duties of trustees of the National Association of Unemployed Graduates are;

a) Ensure that the Association complies with its governing document, law and relevant legislation.

b) Ensure that the Association pursues its objectives as defined in its governing documents.

c) Ensure that the Association applies its resources exclusively in pursuance of its objectives.

d) Give firm strategic direction to the Association, defining goals, setting targets, evaluating performance against agreed targets.

e) Safeguarding the good name, image and ethos of the Association.

9.2. Specific duties of trustees include:

a) Attending meetings of the central executive committee when called for.

b) Participating in policy discussion and the production of consultation process.

     NOTE: the policy discussion must not be used for political, ethnical, religious or personal gains.

c) Contributing to the drafting and monitoring of the Association’s strategies.

d) Helping to promote the Association.

9.3. Nominees for trustees should be aware of the following points:

a) Trustees in NAUG personally hold legal and financial responsibilities on behalf of the Association.

b) Trustees are strictly governed by the constitution of the Association and its guidelines and failure to adhere strictly to these guidelines may lead to the forfeiture of his/her membership as a trustee.

c) NAUG executive members are appointed by the Association members, so the trustees do not hold direct responsibility as an administrator.

d) Act with integrity and avoid any personal conflicts of interest or misuse of the Association.
